What makes a business valuable?

Post Date: 8th September 2026

Business Exit – What you need to know.

Paul Dodgshon – Managing Director & Partner – Business Partnership

Selling a business should be one of the most rewarding moments of an owner’s career, the payoff for years of graft, risk and sleepless nights. And yet too many owners leave money on the table simply because they’re thinking about value too late in the day.

The good news? Value isn’t fixed it’s built. And with the right groundwork most businesses can be made significantly more valuable well before the “For Sale” sign ever goes up.

So what actually makes a buyer reach for their chequebook?

Profit is the headline, but not the whole story

Buyers pay for profit of course, but they pay a premium for a profit that they can trust. Clean, well-organised financials, consistent margins and clear trend lines matter more than a single good year. If your numbers tell a believable, provable story buyers will pay confidently to own it. If they see risk, buyers discount – and that discount can be heavy.

Recurring revenue is a buyer’s best friend

A business with repeat customers, contracts, subscriptions or long standing relationships that are independent of the business owner, is inherently less risky than one that starts each month from zero. If you can show predictable, recurring income, you’re not just selling a business, you’re selling certainty. And certainty commands a higher multiple.

Reduce, or better still eliminate, the “Owner Dependency” discount

Here’s the one that catches out even brilliant entrepreneurs – if the business cannot function without you, its value drops sharply. Buyers aren’t just acquiring turnover, they’re acquiring a business that can run, and grow, without its founder standing in the middle, conducting everything. Building a capable management layer, documenting your processes and stepping back from day-to-day decisions before you sell isn’t giving anything up,  it’s actively creating value.

Growth potential clearly articulated

Buyers aren’t just buying what you’ve built historically they’re buying what they can build next. A credible, well evidenced growth story (new markets, products, geographies or efficiencies still to be unlocked) gives buyers a reason to pay more for tomorrow’s potential, not just yesterday’s results.

“You helped us solve the issues, to understand our business and its value a lot more. You helped us build a stronger business and the time taken to get this right cannot be underestimated in terms of the results achieved.” Jason & Isabelle Cooper, Pure Power Ltd.

Start the exit conversation early

This is where exit strategy and business sale genuinely meet. The businesses that achieve the best outcomes are rarely the ones that decide to sell and then scramble to prepare. They are the ones where the owner started thinking two or three years ahead – sharpening the numbers, strengthening the team and shaping the business into something a buyer would be excited to own.

Exit planning isn’t a separate discipline from building value; it is how value gets built .

The upbeat truth

None of this requires reinventing your business . It requires clarity , a bit of discipline and ideally, an experienced pair of eyes to help you see your business the way a buyer will. That’s precisely where a good broker earns their keep not just marketing the business when it’s ready, but helping owners understand what ready actually looks like and how to get there.

Selling a business well isn’t about luck or timing the market perfectly, it’s about doing the right work in advance so that when the right buyer comes along, your business is standing at its very best and you’re in the strongest possible position to negotiate the outcome you deserve.

If you’re wondering what your own business is worth or what could be done to build value before you sell, get in touch for a confidential no obligation conversation. We’ll give you an honest view of where you stand today, and a clear plan for where you could get to.
